PROFORMANT, INC. PUBLISHES ITS 2002 MEDTECH EQUITY VALUATION FORECAST.

Biomedical corporate development consultancy PROFORMANT, Inc. forecasts the 2002 public and private medtech equity markets.

Framingham, MA, January 18, 2002 — PROFORMANT, Inc. a biomedical corporate development consultancy, announced today the publication of its 2002 Medtech Equity Valuation Forecast. The forecast summarizes key trends and timing expected for this year's public and private medtech equity markets, and it identifies the market fundamentals that will drive and limit valuations. In addition, the forecast identifies specific steps that executives in public and private medtech companies can take to best capitalize upon this year's market conditions.

Excerpts from the PROFORMANT 2002 Medtech Equity Valuation Forecast will be published in the upcoming issue of MX: Business Strategies for Medical Technology Executives and will appear online at www.devicelink.com/mx.

The entire report is currently available online at www.proformant.com, and some highlights are given below by PROFORMANT Managing Partner Joseph Kozikowski, M.D., the report's principal author.

On the private equity valuation trend: "During the second phase, valuations will rise nicely, because the follow-on financings at decent step-ups simply will get done in the capital-flush environment."

On private equity valuation modeling: "Base-case valuation models will continue to discount the lower value acquisition exits, and I'd expect to model stock deals using the lower PEG multiples that reflect the moderate earnings growth of many of the potential medtech acquirers."

On the public equity valuation trend: "The demand for quality healthcare equities will be sustainable through 2002, given the relative attractiveness of healthcare's solid demographic fundamentals versus other tech sectors that, despite their strong potential for secular growth, will continue to lack credible earnings forecasts and, hence, credible valuations, and will continue to have exposure on their cyclical natures."

On the public medtech consolidators: "Uncertainty regarding their abilities to simultaneously deploy capital quickly, avoid free-cash-flow volatility, strip out infrastructure cost, and operate quality-driven business units leaves us thinking that they'll peak and unwind sometime soon, since they always do at some point."
